Terms of Service

1. Eligibility and Account Registration

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. If you are using our Services on behalf of a company, you represent that you have authority to bind that company to these Terms.

You agree to provide accurate and complete information when registering an account and to keep your credentials secure. You are responsible for all activity under your account.

2. Acceptable Use

You agree not to: use our Services for any unlawful purpose; upload malware or malicious code; attempt to gain unauthorized access to our systems; scrape or reverse engineer our software; or use our Services in a way that could damage, disable, or impair our infrastructure.

We reserve the right to suspend or terminate access for violations of these Terms.

3. Subscriptions and Billing

Our SaaS products are offered on a subscription basis with monthly or annual billing cycles. Pricing is described on our pricing page and in your individual service agreement.

Subscriptions auto-renew unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law.

We may adjust pricing with at least 30 days' notice. Existing subscriptions will be renewed at the new rate after the current billing period.

4. Intellectual Property

All content, software, and intellectual property provided through our Services are owned by us or our licensors. You receive a limited, non-exclusive, non-transferable license to use our Services for your internal business purposes during your subscription.

You retain all rights to the data you upload to our platforms. We do not claim ownership of your data.

5. Service Level Agreement

We strive for 99.9% uptime for our enterprise SaaS products. Service credits may be available for downtime exceeding our SLA, as described in your service agreement.

We are not liable for downtime caused by factors outside our control, including internet outages, force majeure events, or issues caused by you or third-party services.

6. Data Processing and Privacy

Our handling of your personal data is described in our Privacy Policy and, for customers, in our Data Processing Agreement (DPA). By using our Services, you agree to the terms of our Privacy Policy.

7. Disclaimers and Limitation of Liability

Our Services are provided 'as is' and 'as available' without warranties of any kind, whether express or implied. We do not guarantee that our Services will be error-free, uninterrupted, or secure.

To the maximum extent permitted by law, our total liability for any claim arising from these Terms or your use of our Services shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business interruption.

8. Termination

You may terminate your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if we are required to do so by law.

Upon termination, your data will be retained for a limited period as described in our Privacy Policy and then permanently deleted, unless retention is required by law.

9. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Lagos, Nigeria, unless otherwise agreed in your service agreement.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of our Services after changes take effect constitutes acceptance of the updated Terms.
